Terms of Service

These Terms of Service ("Terms") govern your use of the GovBids platform at govbids.ca (the "Service"), operated by Ghray, Inc. ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Service Description
GovBids is a tender tracking and alerting platform that aggregates Canadian federal government procurement data from CanadaBuys. The Service provides:
- Searchable database of open and recent government tenders
- Custom email alerts for new tenders matching saved search criteria
- Bookmarking and organization tools for managing opportunities
- Access to tender details, including contracting entity, deadlines, and categories
GovBids is not an official government service. We are a private company that builds tools on top of publicly available government data.
2. Accounts
To access certain features, you must create an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You agree to provide accurate information and to update it as needed.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or are used for unauthorized automated access.
3. Pricing & Billing
GovBids offers free and paid subscription plans. Pricing details are available at govbids.ca/pricing.
- Free tier: Limited features as described on the pricing page. No credit card required.
- Paid plans: Billed monthly or annually via Stripe. Your subscription renews automatically until cancelled.
- Cancellation: You may cancel your subscription at any time. Access continues through the end of your current billing period. No prorated refunds are provided for partial billing periods.
- Price changes: We may change pricing with 30 days' notice. Existing subscribers are grandfathered at their current rate until their next renewal after the notice period.
4. Data Accuracy Disclaimer
Tender data displayed on GovBids is sourced from CanadaBuys, a Government of Canada platform. While we refresh data every 2 hours and take reasonable steps to ensure accuracy, we do not guarantee that the information is complete, current, or error-free.
Government tender data is provided "as-is." Before submitting any bid or making business decisions, you should always verify tender details directly on CanadaBuys. We are not responsible for errors, omissions, or delays in the data, or for any actions you take based on information provided through our Service.
5. Acceptable Use
You agree not to:
- Use automated tools (scrapers, bots) to access the Service beyond normal API usage
- Resell, redistribute, or sublicense access to the Service or its data
- Attempt to circumvent access controls, rate limits, or security measures
- Use the Service for any illegal purpose
- Upload malicious content or interfere with the Service's operation
6. Intellectual Property
The GovBids platform, including its design, code, and original content, is the intellectual property of Ghray, Inc. Government tender data sourced from CanadaBuys is published under the Open Government Licence — Canada and remains the property of the Government of Canada.
7. Limitation of Liability
To the maximum extent permitted by law, Ghray, Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service. This includes, without limitation:
- Lost profits, revenue, or business opportunities
- Missed bid deadlines due to data delays or errors
- Decisions made based on information provided through the Service
- Service interruptions or data loss
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100 CAD, whichever is greater.
8. Indemnification
You agree to indemnify and hold harmless Ghray, Inc. from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or your violation of these Terms.
9. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will provide reasonable notice when possible.
10. Termination
You may terminate your account at any time by contacting us. We may terminate or suspend your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately, though Sections 4, 7, 8, and 11 survive termination.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of the Province of Alberta, and you consent to the exclusive jurisdiction of those courts.
12. Changes to These Terms
We may update these Terms from time to time. We will notify registered users of material changes via email at least 15 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
